The Texas franchise or "margin" tax has been affirmed as constitutional by the Texas Supreme Court, and more and more compliance and planning issues are beginning to come into focus. Texas CPAs need current insight into the calculation of the margin tax with emphasis on the (i) calculation of the cost of goods sold; (ii) the compensation deduction; (iii) the availability of certain statutory revenue exclusions; (iv) applicable rate; (v) the passive entity exemption; and (vi) apportionment. Professionals need a working knowledge of the combined reporting requirements and the basic mechanics of the Texas Comptroller's franchise tax report forms. The course will cover emerging issues from recent administrative hearing decisions and court cases involving the Texas margin tax, such as the timely election of cost of goods sold vs. compensation deduction. Building on these basics, the course will continue with a detailed discussion of nexus requirements and conclude by applying practical examples of the impacts of the margin tax in common business structures.

Mr. Moore is a state tax lawyer whose practice includes planning and controversy work emphasizing sales tax, Texas franchise (aka "margin") tax, and insurance premium tax. He has extensive experience in state tax planning for multi- state business models, and regularly provides tax strategy advice relating to business acquisitions and divestitures.
